    Expertise

    Gilles Gaillard has been involved for more than 25 years in public and private M&A, private equity and corporate restructuring, with a focus on complex cross-border transactions and regulated sectors.

    He advises some of the most prominent French and international private equity sponsors and corporate groups, family offices and institutional shareholders, financial institutions, business creators, in relation with their corporate finance transactions, acquisitions or disposals of assets and listed and unlisted securities, private equity transactions (venture capital, build-up), joint ventures and partnerships.

    He is particularly active in the insurance, and life science sectors with clients including Aéma (Macif-Aésio-Abeille), AG2R La Mondiale, Covéa (MAAF, MMA, GMF), Groupama and Tutélaire in the insurance sector and CFAO, GE Healthcare, Sancare and Synbionyme in the life sciences sector, Artelia, Edify and Onet  in the industry and engineering sectors.

    Gilles Gaillard is member of the International Bar Association, of the French societies France Invest, AJAR, AMRAE and Cercle des Administrateurs (with notably INSEAD and Wharton). Gilles Gaillard was member of ADVANT Altana’s executive committee until July 2022 and is a member of ADVANT steering committee with ADVANT Nctm and ADVANT Beiten’s representatives.

    Client Matters

    • Advised Onet group on the acquisition of the multiservice facilities management and logistics activities in France of the Danish group ISS with a turnover of Eur 360 million in 2023 for 14,000 employees.
    • Advised Luisina, a group specialising in kitchen and bathroom equipment for professionals, on its merger with the German group Schütte. 
    • Advised MAAF Assurances (Covea Group) on the sale of its stake in CGI Bâtiment, the French leader in builder's warranties, to its main shareholder, SMABTP. 
    • Counsel to Covea group for the sale of its medical insurance subsidiary Medical Insurance Company (MIC) in Ireland to the English group Compre 
    • Advised CFAO group on the acquisition from the US fund Leapfrog In-vestments of a strategic minority stake in Goodlife Pharmacy, leading retail pharmacy and healthcare chain in East Africa 
    • Advised the Austrian group Wienerberger, world leader in clay roof tiles, on the acquisition of the world number two, the French group Terreal from its shareholders (Park Square Capital, Goldman Sachs Merchant Banking Division and Barings).
    • Advised the family office Edify on the sale of the Zurflüh-Feller group, a leading manufacturer of roller shutter accessories, with 550 employees and sales of Eur 90 million in 2021, to a pool of investors led by the Geneo fund and the management. Advised CFAO on the acquisition of a minority stake in the USA in the pharmaceutical group Lifestores, which operates in Nigeria.
    • Advised Macif (Aéma group) on the acquisition of all the insurance activities of Aviva in France.
